TERMS AND CONDITIONS OF CONSIGNMENT

  1. Application and Structure

1a) These Terms of Consignment apply to all Goods consigned to us for sale by live in-room auction, online-only auction, or online bidding (together, Auctions), unless expressly stated otherwise.

1b) Where Goods are sold through an online platform, these Terms apply subject to any mandatory platform rules, which will prevail only to the extent of any conflict.

1c) These Terms form part of our Conditions of Business, together with:

  1. the Terms of Sale (buyers and bidders), and
  2. any auction-specific notices or online platform rules.
  1. Definitions and Interpretation

2a) In these Terms of Consignment, the following words and expressions have the meanings set out below:

“Auction” means any auction conducted by us, whether as a live in-room auction, an online-only auction, a timed auction, or a hybrid auction combining live and online bidding.

“Auctioneer”, “we”, “us”, “our” means Auction House Services UK Ltd (company number 03943446) whose registered office is at 2 Upperton Gardens, Eastbourne, BN21 2AH, or any authorised auctioneer acting on its behalf.

“Bidder” means any person who places a bid in an Auction, whether in person, online, by telephone, or by any other permitted method.

“Buyer” means the Bidder whose bid is accepted by us at the conclusion of an Auction.

“Closing Time” means, in the case of an Online Auction or Timed Auction, the published time at which bidding for a Lot is scheduled to end, subject to any automatic bid-extension or other auction rules.

“Commission” means the vendor’s commission payable by you to us on the sale of the Goods, calculated in accordance with Clause 5.

“Conditions of Business” means these Terms of Consignment, the Terms of Sale, and any additional notices, conditions, or auction-specific rules published by us or announced during an Auction.

“Consumer” means an individual acting for purposes wholly or mainly outside that individual’s trade, business, craft, or profession.

“Deliberate Forgery” means a work which:

(a) is an imitation made with the intention of deceiving as to authorship, origin, date, age, period, culture, or source;

(b) is described in the catalogue or online listing as being the work of a particular creator without qualification; and

(c) at the date of sale has a value materially less than it would have had if it were as described.

“Estimate” means the low and high pre-sale estimate published by us for a Lot.

“FCA” means the Financial Conduct Authority.

“Goods” means any item or items consigned by you to us for sale at Auction.

“Hammer Price” means:

(a) in a live auction, the highest bid accepted by the Auctioneer at the fall of the hammer; or

(b) in an Online Auction or Timed Auction, the highest bid accepted by us at the Closing Time.

“Lot” means one or more Goods offered for sale as a single unit.

“Money Laundering Regulations” means the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017, as amended or replaced from time to time.

“Online Auction” means an Auction conducted wholly online without a live auctioneer.

“Online Platform” means our website and/or any third-party platform used by us to host Online Auctions or online bidding.

“Premium” means the buyer’s premium payable by the Buyer in accordance with the Terms of Sale.

“Price” means the total amount payable by the Buyer for a Lot, being the Hammer Price plus the Premium and any applicable VAT.

“Proceeds” means the net amount payable to you following a sale, being the Hammer Price less Commission, fees, expenses, and any applicable VAT.

“Reserve” means the confidential minimum Hammer Price at which a Lot may be sold.

“Seller”, “you”, “your” means the owner of the Goods and includes any person authorised by the owner to consign the Goods for sale on the owner’s behalf.

“Terms of Consignment” means these terms and conditions governing the consignment of Goods for sale.

“Terms of Sale” means the terms and conditions governing bidding and buying at our Auctions.

“Timed Auction” means an Online Auction where Lots close sequentially at scheduled Closing Times.

“Trader” means a Seller acting for purposes relating to that Seller’s trade, business, craft, or profession, whether acting personally or through an agent.

“VAT” means value added tax or any equivalent sales tax at the applicable rate.

“Website” means our website at www.lotsroad.com or any replacement domain.

  1. CONSIGNMENT PROCEDURE & AML COMPLIANCE

3a) We may require identification, ownership evidence, and information about the Goods to comply with the Money Laundering Regulations in a form acceptable to us.

3b) Failure to provide satisfactory information may result in refusal, delay, or cancellation of sale.

3c) You are responsible for delivery of Goods to us at your cost unless otherwise agreed.

3d) The same identification, AML checks, and ownership requirements apply equally to in-room and online auctions and need to be provided in full before a consignment can be accepted.

3e) We may suspend, delay, cancel, or void a consignment or sale before or after Closing Time if required to complete AML or sanctions checks without liability to the Seller.

  1. FORMATION OF THE CONTRACT

4a) The contract of sale between you and the Buyer is formed:

  1. in a live auction: at the fall of the hammer;
  1. in an online or timed auction: at the Closing Time, when the highest bid is accepted by us.

4b) We act as agent only and are not a party to the contract of sale.

4c) We may invalidate or reverse a sale where:

  1. a material bidding error has occurred;
  2. there is a system failure or platform malfunction;
  3. we reasonably suspect fraud, collusion, or unlawful conduct.

4d) We are not responsible for Buyer default but may at our discretion assist in enforcement.

  1. ESTIMATES, RESERVES & DISCRETION

5a) Reserves apply equally to in-room and online auctions and must not exceed the lower estimate.

5b) For Online Auctions:

  1. bid-extension (“anti-sniping”) rules apply where bids are placed shortly before Closing Time;
  2. Closing Times may be extended automatically.

5c) We may:

  1. accept bids 10% below reserve where discretion has been agreed;
  2. bid on your behalf up to one bid below the reserve;
  3. re-offer unsold Goods in a different auction or by private treaty unless you instruct otherwise.

5d) We may at our absolute discretion:

  1. refuse any Goods for consignment;
  2. withdraw any Lot from sale;
  3. divide, combine, or re-catalogue Lots;
  4. amend Estimates, Reserves, descriptions, photographs, or catalogue information;
  5. postpone, suspend, cancel, or re-offer any Lot or Auction;
  6. transfer Goods between auction formats, including live, online, timed, or private treaty sales;
  7. take any action we reasonably consider necessary for legal, regulatory, operational, reputational, or commercial reasons.
  1. COMMISSION & FEES

6a) Vendor’s commission is calculated on the Hammer Price as follows, unless agreed otherwise in writing:

  1. £0–£999: 20%
  2. £1,000–£4,999: 10%
  3. £5,000+: 5%

All rates exclusive of VAT.

6b) Lotting fees:

  1. £20 + VAT per lot

6c) Sofas and beds: 30% commission + £20 lotting fee + VAT.

6d) Commission rates apply regardless of auction format, unless expressly agreed otherwise in writing.

  1. RISK, LOSS & DAMAGE

7a) Our responsibility for Goods begins when we take possession and ends upon the transfer of risk to the Buyer under the Terms of Sale.

7b) We charge a loss and damage contribution of 1.5% of the Hammer Price + VAT.

7c) We are not liable for inherent defects, force majeure events, or acts beyond our reasonable control.

  1. DESCRIPTIONS, IMAGES & ONLINE DISPLAY

8a) We may:

  1. photograph and digitally reproduce the Goods;
  2. edit, crop, or adapt images for online presentation.
  3. use those images in any marketing or promotional material both on-line or in print at any point in time.

8b) Online images and descriptions are illustrative only and do not guarantee condition.

  1. SELLER WARRANTIES

9a) You warrant, to the best of your knowledge, that:

  1. You own the Goods or are authorised to sell them;
  1. Title will pass free of third-party claims;
  2. Descriptions and information provided are accurate to your knowledge;
  3. Goods are lawful to sell and export;
  4. The Goods are not connected to any criminal activity, including tax evasion.

9b) Any electrical items you wish to consign must be tested before consignment and will not be accepted unless certified sale by an electrician (unless they are antiques). We do not offer electrical testing services.

9c) Any items that are not deemed safe, in particular those which are soft furnishings that infringe safety regulations, we will not offer these Goods for sale, and you must remove such Goods at your expense. Goods remaining uncollected after seven days from notice may be charged a warehouse charge of £5 per item per day. See Clause 12 for further information.

9d) These warranties apply equally to online and live sales and survive the sale.

  1. FORGERIES

10a) If a lot is established to be a Deliberate Forgery and a refund required to the Buyer, you must refund all sums paid to you within seven days of written notice.

10b) We may obtain independent expert authentication or opinion at the Seller’s expense where authenticity is reasonably in doubt.

  1. BUYER DEFAULT AND SETTLEMENT

11a) Settlement will be made within 18 working days, provided the Buyer has paid and compliance checks are complete. Timelines apply from:

  1. the Auction Date (live); or
  2. the Closing Time (online)

11b) We may deduct commission, fees, expenses, and sums owed from the proceeds.

11c) No interest is payable to you on sale proceeds.

11d) Where a Buyer defaults:

  1. we may cancel the sale, re-offer the Goods, or sell by private treaty;
  2. settlement to you is suspended until resolution.

11e) We are not obliged to pursue legal action against a defaulting Buyer.

11f) You must notify us in writing if your bank details change. We will not be responsible for any payments made to the incorrect bank account if we do not have up to date information.

11g) If we make a payment to your bank account in error, we may request reimbursement by sending you an invoice

11h) We may deduct any sums owed to us from the proceeds

  1. UNSOLD, WITHDRAWN & RE-OFFERED LOTS

12a) Unsold Goods may be:

  1. re-offered in a subsequent online or live auction; or
  2. sold by private treaty within two business days.

12b) If you withdraw Goods after our catalogue has been published, you must pay us a charge comprised of the Vendor’s Commission, Buyer’s Premium, the Lotting Fee and Loss & Damage contribution calculated on our published high estimate.

12c) We will notify you to ask you to remove Unsold Goods. Items not collected in seven days from this notice may be subject to a warehousing charge of £5 per day, per lot. If the Unsold or Withdrawn Goods have not been removed within 30 days of the date of our notice we may either:(a) sell such Goods and set off charges from the net proceeds of the sale; or (b) at your expense dispose of such Goods.

  1. PLATFORM & TECHNOLOGY RISK

13a) We are not responsible for:

  1. interruptions to internet services;
  2. platform outages;
  3. delays or failures in bid transmission beyond our reasonable control.

13b) We may suspend, extend, or restart an Online Auction if necessary to ensure fairness.

  1. FORCE MAJEURE

14a) We shall not be liable for any delay, interruption or failure to perform our obligations where caused by circumstances beyond our reasonable control including power failure, internet outage, cyberattack, industrial action, transportation disruption, flood, fire, pandemic, governmental action or other force majeure event.

  1. LIMITATION OF LIABILITY

15a) Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any liability which cannot legally be excluded.

15b) Subject to Clause 15a, our total aggregate liability per Lot shall be limited to:

  1. the Proceeds due for the Goods if sold; or
  2. the Reserve if unsold.

15c) Subject to Clause 15a, we shall not be liable for any indirect or consequential loss, loss of profit, loss of business, loss of opportunity, loss of goodwill, loss of bidding opportunity, platform latency, or failure to achieve estimates.

  1. DATA PROTECTION

We process personal data in accordance with our Privacy Policy.

  1. NOTICES

17a) Notices may be given by email alone, without postal duplication, unless expressly required by law.

  1. VARIATION OF TERMS

18a) We may update these Terms from time to time.

18b) The version in force at the time of consignment will apply to your Goods.

  1. GOVERNING LAW

These Conditions and any dispute arising from them shall be governed by English law and subject to the exclusive

jurisdiction of the courts of England and Wales.

 

TERMS AND CONDITIONS OF SALE

  1. INTRODUCTION

All auctions are governed by these Conditions of Sale, together with any notices in the saleroom or announcements made by the auctioneer.

Please read these Conditions carefully before bidding. By bidding, you agree to be bound by them.

  1. DESCRIPTION & CONDITION OF LOTS

While Lots Road Auctions make every effort to ensure the accuracy of their catalogues and the description of any lot:

2a) All lots are sold as seen, with all faults, imperfections, and errors of description. Electrical items are untested.

2b) Descriptions in the catalogue or elsewhere reflect our opinion only. We do not guarantee authenticity, attribution, origin, age, condition, or quality unless expressly stated in writing.

2c) Buyers are responsible for inspecting lots before bidding. Condition reports are provided as a guide only and do not form part of the contract. Condition reports can be requested by emailing [email protected].

We cannot guarantee a response to requests received later than 24 hours before the start of the auction.

2d) Nothing in these Conditions excludes or limits statutory consumer rights.

  1. AGENCY

We act as agent for the seller whose identity is not normally disclosed for reasons of confidentiality. The contract of sale is between the buyer and the seller, not Lots Road Auctions.

  1. ESTIMATES

Estimates are guides only and may change. They do not include buyer’s premium, VAT, or other surcharges.

Estimates may be altered by saleroom notice or announcement by the Auctioneer before the auction of the lot; they are not definitive.

  1. REGISTRATION & BIDDING

5a) Bidders must register before bidding and provide proof of identity. We reserve the right to impose a deadline prior to the auction by which you must register to allow us time to carry out the relevant checks.

5b) Personal information will be processed in accordance with our Privacy Policy available on our website at www.lotsroad.com

5c) We may refuse registration or bidding at our discretion.

5d) Lots are invoiced to the registered bidder only.

5e) We are not liable for the failure or error of external bidding platforms (such as the-saleroom.com or Easylive), internet connectivity, software or bidding systems.

  1. ANTI-MONEY LAUNDERING

6a) We are required to carry out identity checks to comply with Anti-Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 and related legislation.

6b) For individuals we require official photo identification and proof of address.

6c) For corporate entities we require the certificate of incorporation, official name, registration number and registered address along with photo identification for all Directors and beneficial owners of the entity.

6d) For trusts and estates we require photo identification for all executors/trustees.

6e) Failure to provide requested information may result in refusal to bid or cancellation of a sale.

  1. COMMISSION BIDS

7a) Commission bids are executed at the lowest possible price, subject to reserves and competing bids.

7b) Identical bids may be decided by order of receipt.

7c) We reserve the right to impose a deadline prior to the auction by which you must register your commission bid, usually 24 hours before the start of an auction.

  1. CONDUCT OF THE AUCTION

8a) The Auctioneer shall have the right, at their absolute discretion, to refuse any bid, withdraw any lot, divide any lot, combine any lots, advance the bidding, reopen the bidding in the event of dispute, and otherwise regulate the conduct of the auction.

8b) The highest bidder is the buyer unless a dispute arises. The Auctioneer has absolute discretion to settle all disputes which may include re-offering the lot and the Auctioneer’s decision shall be final.

8c) The Auctioneer may bid on behalf of the seller up to the reserve.

8d) Any information provided about a lot in the catalogue or elsewhere – including its condition and description – may be changed or clarified by the Auctioneer from the rostrum before it is offered and/or prior to any bids accepted. Any oral or written announcement made by the Auctioneer before the fall of the hammer shall take precedence over any catalogue description or other published information.

  1. BUYER’S PREMIUM

9a) A buyer’s premium of 33.6% inclusive of VAT (28% + VAT) plus a £5 lot fee (inclusive of VAT) is applicable to each lot. Additional platform surcharges may apply.

9b) Certain works by living artists will incur an Artist’s Resale Right royalty charge of 4% when sold with a hammer price of €1000 (approx. £850) or more. Artist Resale Right royalties are not subject to VAT.

  1. VAT

VAT may at times be payable on the hammer price and/or buyer’s premium. Relevant lots will be marked in the catalogue with a (*). VAT is chargeable at the standard rate (presently 20%). VAT is not applicable on books, unframed maps and some works on paper.

  1. AUTHENTICITY & FORGERY CLAIMS

11.1 If a buyer reasonably believes a lot is a deliberate forgery, they must notify Lots Road Auctions as soon as reasonably practicable after discovery, but no later than six months after purchase in writing.

11.2 The claim must be supported by independent expert evidence, and the burden of proof rests with the buyer.

11.3 The lot must be returned within 21 days of notification in the same condition as at the time of sale.

11.4 If, after review, the lot is determined to be a deliberate forgery, the sale will be rescinded, and the buyer refunded the purchase price and buyer’s premium. We may reclaim such costs from the Vendor.

11.5 Claims based on changes in scholarly opinion, market re-attribution, or new research are excluded.

11.6 Nothing in this clause limits statutory consumer rights.

  1. DEFAULT

12 a) If a buyer or seller defaults, we are not liable for their failure as we act as agent only

12b) Instructions given by telephone, email, online platform or other electronic means are accepted at the sender’s risk.

  1. PRIVATE TREATY SALES

Private treaty sales are subject to these Conditions unless otherwise agreed in writing.

  1. METHODS OF PAYMENT

14a) Payment must be made by cleared funds namely bank transfer or by card within three days of the auction closing. We do not accept cash, cheques or American Express.

14b) Late payments may be subject to reminder fees. Lots that have not been paid for within 10 days of the auction closing may be re-offered without notice.

14c) Card payments taken over the phone are subject to a limit of £1,500 and in person £4,000.

14d) Goods will not be released until full payment is received.

  1. LIABILITY ON PREMISES

Visitors enter at their own risk. We are not liable for loss or injury unless caused by our negligence.

  1. ELECTRICAL GOODS

Electrical items are sold for display only and must be checked by a qualified electrician before use.

  1. EXPORT

Buyers are responsible for export licences and compliance with import restrictions. VAT Applicable VAT refunds will only be made in-line with HMRC VAT Notice 703 and will carry an admin fee of £30 plus VAT.

  1. COLLECTION & STORAGE

18a) All lots must be removed at the Buyer’s risk and expense within four days of the auction closing.

18b) Lots Road Auctions is not responsible if the item is lost, stolen, damaged or destroyed past this timeframe.

The risk passes to the Buyer in full on the fourth calendar day after the auction closes.

18c) Lots that have not been collected within this timeframe may incur a storage fee of £5 per day + VAT (per lot), or such higher storage charges as may be notified for oversized items.

18d) Lots that have not been paid for or collected within 10 calendar days of the auction date may be re-offered into the next available sale following written notice to the Buyer.

18e) Lots that have been paid for but not collected within 30 calendar days of the auction without an agreed collection extension date in writing may be re-offered without further notice to the Buyer. We may sell, dispose of, donate, recycle or otherwise deal with the lot as we see fit, deduct all charges incurred and apply any proceeds towards outstanding sums due.

18f) If an item is found to be damaged or becomes unavailable prior to collection following a sale we will notify you immediately and issue a refund if an invoice has been settled.

  1. FORCE MAJEURE

19a) We shall not be liable for failure to perform our obligations where such failure results from events beyond our reasonable control including power outages, internet failures, industrial action, governmental action, flood, fire, pandemic, cyberattack, failure of telecommunications networks, supplier failure, transportation disruption or other force majeure events.

  1. AGREEMENT

20a) By registering and bidding, you confirm that you have read and agree to these Conditions.

20b) In the event of any failure of the Buyer to comply with any of the above conditions the damages recoverable

by the seller or Lots Road Auctions from the defaulter shall include any loss arising on any re-sale of the lots, together with the charges and expenses in respect of both sales including legal costs, storage charges, transport charges and administrative expenses, together with interest at 10% above HSBC Base Rate upon the price of any lot which has not been paid for within 72 hours of an auction. Any money deposited in part payment shall be held by the Auctioneers on account of any liability of the defaulter to them or the seller.

20c) These Conditions and any dispute arising from them shall be governed by English law and subject to the exclusive jurisdiction of the courts of England and Wales.

20d) Nothing in these Conditions excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any liability that cannot legally be excluded.

Subject to the foregoing, Lots Road Auctions shall not be liable for indirect or consequential loss, loss of profit, loss of opportunity, loss of business or loss of goodwill.

20e) Our total liability shall never exceed the purchase price actually paid by the Buyer together with the Buyer’s Premium.

20f) The Auctioneer reserves the right to amend these Conditions from time to time. The Conditions published and in force on the date the auction opens shall apply to that auction.
